I wouldn't hesitate at all to upgrade. Many improvements have been made since 2010.
One thing to think about is whether to sync. Due to problems posted here, I don't think it is (still) ready for prime time.
The media should be no problem at all. However, with each version I copy my FTM file, including FTM media file to a new folder with the year in the name of the folder and the file.
In other words, in your case, I would have a folder FTM2010 with a file ris2010.ftm and a folder rismedia2010.
I would create a new folder FTM2012 and copy those files over and change the year in each name. Then install the new software and load the new ris2012 file into the FTM2012 software. It will take awhile, as it will be making changes to your file. In that manner, you will have an archive copy of your FTM2010 file on your hard disk to go back to if ever needed. I've never needed my archive file, but a Murphy's Law derivative is that if you don't backup - you'll need it.
Places and how to resolve places has changed a bit. You can now have a text string on the front-end of a place location and resolve it.
The cost is less than a couple going to Sat night movie even without popcorn - (or a week-day matinee with popcorn - ha.)
